1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and HIPHOP PULSE TV LLC ("Company," "we," "us," or "our"), a limited liability company duly organized and operating under the laws of the United States of America.

By purchasing a service, subscribing to a plan, or using any portion of our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Refund Policy, and Cancellation Policy.

2. Services Description

HIPHOP PULSE TV LLC provides a range of media, entertainment, and digital marketing services including but not limited to:

• Music video production and post-production
• Digital music distribution across streaming platforms
• Artist brand development and identity design
• Social media management and content creation
• Press releases and media placement services
• Analytics, reporting, and growth strategy consulting

Specific deliverables, timelines, and scope of work will be detailed in individual service agreements or order confirmations provided at the time of purchase.

3. Eligibility

You must be at least 18 years of age to use our services or enter into a contract with HIPHOP PULSE TV LLC. By using our services, you represent and warrant that you are of legal age and have the legal capacity to enter into this agreement. If you are entering this agreement on behalf of an organization, you represent that you have the authority to bind that organization.

4. Account Registration & Client Responsibilities

To access certain services, you may need to create an account or submit personal and business information. You agree to:

• Provide accurate, current, and complete information during registration or onboarding
• Maintain and promptly update your information to keep it accurate
• Keep your account credentials confidential and notify us immediately of unauthorized access
• Cooperate with our team by providing materials, approvals, and feedback in a timely manner
• Own or have the right to use all content, music, and materials submitted to us

5. Payment Terms

All fees are stated in US Dollars (USD) and are due as specified in your service agreement or subscription plan. Payment terms include:

• Subscription services are billed on a monthly or annual basis, as selected at purchase
• One-time project fees may require a deposit (typically 50%) before work commences, with the balance due upon project completion
• All payments are processed through secure third-party payment processors
• Failure to pay invoices by the due date may result in service suspension or termination
• Prices are subject to change with 30 days' notice to existing clients

6. Intellectual Property

Your Content: You retain all ownership rights to content, music, and creative materials you provide to us. By submitting materials, you grant HIPHOP PULSE TV LLC a non-exclusive, royalty-free license to use such materials solely for the purpose of delivering the contracted services.

Our Work Product: Upon receipt of full payment, you will own the final deliverables created specifically for your project. However, HIPHOP PULSE TV LLC retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

Company IP: All tools, templates, processes, software, and proprietary methods developed by HIPHOP PULSE TV LLC remain our exclusive intellectual property.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. We will not disclose your business strategies, unreleased music, or proprietary information to third parties without your written consent, except as required by law.

8. Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of any third party
• Submit content that is defamatory, obscene, fraudulent, or harmful
• Promote hate speech, violence, or discrimination
• Engage in any activity that disrupts or interferes with our services
• Attempt to gain unauthorized access to our systems or data

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HIPHOP PULSE TV LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

Our total liability to you for any claims arising out of these Terms shall not exceed the total amount paid by you to HIPHOP PULSE TV LLC in the three (3) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted, error-free, or achieve any specific business outcomes such as a guaranteed number of streams, followers, or revenue. Results may vary based on many factors outside our control.

11. Indemnification

You agree to indemnify, defend, and hold harmless HIPHOP PULSE TV LLC, its members, employees, agents, and contractors from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of third-party rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States of America. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable US arbitration rules.

13. Modifications to Terms

HIPHOP PULSE TV LLC reserves the right to modify these Terms at any time. We will notify existing clients of material changes via email or a prominent notice on our website. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
